How much does it cost to set up a company in Morocco?
At STRACOMA: 4,000 MAD excl. tax in fees, turnkey — one of the very few firms in Morocco to publish that price openly. On top come the administrative costs paid to the authorities (certificat négatif, registration duty, court registry, legal notices), which depend among other things on the share capital and appear as separate lines on the quotation. So you know the total cost before you sign anything.
Which documents do you need to prepare?
For a SARL or a SARL AU, the essentials come down to very little: ID documents for the shareholders and the manager (CIN or passport), two or three proposed company names, the address of the registered office — a commercial lease in the company's name or a domiciliation contract —, the amount of the share capital and how it is split between shareholders, and a description of the business. That's all: the articles, the forms and the filings are our job.
What are the steps, and what are the real timelines?
The sequence is always the same: certificat négatif, signed articles, registration, taxe professionnelle and tax ID, entry in the trade register, CNSS, legal notices. In practice, once your documents are together, allow one to two weeks for a SARL — timelines vary with how quickly the administrations respond and how complete the file is, and it is precisely the firm's job never to let a file sit waiting on a missing document.
Do you need premises to set up a company?
You need a registered office, which is not the same thing. Three options: a commercial lease if you already have premises, domiciliation with a licensed domiciliation company if you don't need premises yet, or in some cases the operating premises you already occupy. Domiciliation is the most common way to start light — we'll steer you to the right arrangement.
SARL, SARL AU, SA or auto-entrepreneur: which one?
In two sentences: the auto-entrepreneur status suits a one-person activity that is just starting, within revenue caps; the SARL AU is the company for someone working alone who wants to ring-fence their personal assets and deal with businesses; the SARL is the standard form as soon as there are several of you; the SA is reserved for large-scale projects with several shareholders. That choice commits both your tax position and your liability: at the first meeting we settle it together, with the numbers in front of us — it is part of the service.
Can a foreigner set up a company in Morocco?
Yes. A foreigner can be a shareholder — including holding 100% of the capital in most activities — and manager of a Moroccan company. The file calls for a few specific documents (passport and, where applicable, a residence permit) and certain regulated activities have conditions of their own. The firm regularly guides Moroccans living abroad through setting up at home — the procedure runs perfectly well at a distance, with a power of attorney for the signatures.
What happens once the company is registered?
Your company exists — and its obligations begin: CGNC-compliant accounts from the very first entry, TVA (VAT) returns, IS (corporate income tax) instalments, CNSS from the first hire. What exactly does the 4,000 MAD excl. tax package cover?
All our fees for the formation: advice on the legal form and the tax regime, certificat négatif, drafting of the articles, registration, taxe professionnelle and tax ID, entry in the trade register, CNSS affiliation and legal notices. The administrative costs paid to the authorities come on top and are listed separately on the quotation.
How much capital do you need to set up a SARL?
The law sets no minimum capital for a SARL. In practice, capital that is consistent with your business makes the banking relationship easier; many founders start with between 10,000 and 100,000 MAD. Above 100,000 MAD, cash contributions must be paid into a blocked bank account before registration.
How long does the formation take?
One to two weeks in practice for a SARL, once your documents are together — the certificat négatif and the registration at the court registry set the pace. We give you a realistic timeline at the first meeting, not an advertised one.
Can the company be set up remotely?
Yes. We work by WhatsApp, e-mail and phone, and a power of attorney lets us handle the signatures and filings without you being there. We regularly guide Moroccans living abroad through setting up their company back home.
Domiciliation or a lease: which registered office should you choose?
If you already occupy premises, a commercial lease is the natural answer. Otherwise, domiciliation with a licensed provider gives your company a legal address for a modest monthly cost while you get started — you can transfer the registered office later if you need to.
What obligations start on day one?
CGNC-compliant accounts from the very first transaction, TVA returns according to your regime, IS instalments, and CNSS from the first hire. That is why our formations most often lead into the bookkeeping subscription, from 1,000 MAD excl. tax/month — same file, same contact.
Can the firm help open the bank account?
Yes: we prepare the bank file (articles, certificat négatif, ID documents) and, if the capital has to be blocked, we coordinate the blocking certificate with the bank. Choosing the bank is up to you — we simply tell you what each of them will ask for.
Can you set up a company while holding a salaried job?
As a matter of company law, nothing prevents it: an employee can be a shareholder and a manager. Do check your employment contract, though (exclusivity or non-compete clauses) and the rules specific to your employer, particularly in the public sector. We discuss it at the first meeting.
